2. Scope of These Terms

These Terms apply to:

Any quotation we provide:

  • Is not a binding contract but an invitation to place a purchase order.

6. Orders and Order Acceptance

Your purchase order will be deemed an offer to buy products under these Terms.

A binding contract is formed only when:

  • We confirm your order in writing (for example via email or signed Proforma Invoice), and
  • We receive any required advance payment or deposit according to the agreed terms.

We reserve the right to refuse or cancel any order, for example if:

  • The product is unavailable,
  • There is a pricing or specification error, or
  • We reasonably believe the order is fraudulent or not compatible with export or compliance rules.

7. Prices, Payment Terms, and Taxes

Unless otherwise stated in writing:

  • All prices are exclusive of taxes, duties, and customs charges.
  • Applicable VAT, customs duties, or other taxes in the destination country shall be borne by the buyer.
  • Prices are typically quoted under Incoterms® [insert term, e.g., FOB, CIF, EXW] and you should confirm the trade term clearly in the quotation or contract.

Payment terms (such as deposit and balance payment) will be specified in the Proforma Invoice or contract and may include:

  • A deposit (e.g., 30%) before production
  • Balance payment before shipment

You agree to pay all amounts according to the agreed schedule. We reserve the right to:

  • Suspend production or shipment if payments are delayed.
  • Charge reasonable interest or fees on overdue amounts where permitted by law.

8. Production, Lead Time, and Delivery

Estimated lead times for our transparent LED displays and related products:

  • Are provided for planning purposes only, and
  • May vary due to production load, raw material availability, customization, and logistics conditions.

We will make reasonable efforts to meet the indicated delivery dates but are not liable for delays caused by:

  • Force majeure (see Section 14)
  • Shipping, customs clearance, or inspection issues
  • Design changes, late approvals, or late payments by the buyer

Risk of loss and transfer of ownership will follow the agreed Incoterms® and shipping terms.

9. Inspection, Acceptance, and Claims

You are responsible for:

  • Inspecting the goods upon receipt, including packaging condition and quantity.
  • Notifying us promptly in writing of any visible damage, shortages, or discrepancies.

For hidden defects or technical issues:

  • You should notify us in writing as soon as reasonably possible after discovery, providing photos, videos, or other evidence.
  • We may request additional information to evaluate the issue.

Failure to notify within a reasonable time may be considered acceptance of the goods as delivered.

10. Warranty

We generally provide a limited warranty on our LED display products, which will be defined in the quotation, contract, or warranty statement. Unless otherwise stated:

  • The warranty covers manufacturing defects in materials and workmanship under normal, intended use.
  • The warranty period typically starts from the date of shipment or installation, as agreed.

The warranty does not cover:

  • Damage due to improper installation, improper wiring, misuse, negligence, accidents, vandalism, or unauthorized modifications.
  • Damage caused by extreme environments, power surges, unstable power supply, or failure to follow our installation and maintenance instructions.
  • Normal wear and tear, including gradual brightness decay or minor color variations over time.

Our obligation under the warranty is generally limited to repairing, replacing, or providing spare parts for the defective components, at our discretion.

11. Returns and Cancellations

Because our products are often customized to specific project sizes and configurations, cancellations and returns are subject to strict conditions:

  • Orders may not be cancelled without our prior written consent.
  • If cancellation is agreed, you may be required to compensate us for all reasonable costs incurred (materials, labor, engineering, etc.).
  • Standard products may be considered for return only under exceptional circumstances and with our written approval.

Returned goods must be in their original or equivalent packaging and condition. Shipping costs and related charges for returns are typically borne by the buyer, unless otherwise agreed.

12. Intellectual Property

All content on this website, including but not limited to:

  • Text, images, diagrams, product drawings, and case photos
  • Logos, trademarks, brand names (including “ChinaLEDScreens”)

  • ChinaLEDScreens shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, data, or business opportunities, arising from the use of our website or products.
  • Our total aggregate liability for any claim related to an order or contract shall not exceed the total amount actually paid by you for the specific order that gave rise to the claim.

Nothing in these Terms limits or excludes liability where such limitation or exclusion is prohibited by applicable law.
